Cardintel Enterprise Services Agreement
Effective Date: June 30, 2026
This Enterprise Services Agreement (“Agreement”) governs the use of Cardintel Tech services by organizations, businesses, institutions, and government entities (“Customer”). By purchasing or using Cardintel Enterprise Services, the Customer agrees to this Agreement, the Cardintel Terms & Conditions, Privacy Policy, and all applicable policies.
1. Enterprise Services
Cardintel Enterprise Services are designed for organizations requiring advanced digital networking, employee management, business analytics, and enterprise-grade account administration.
Enterprise services may include:
- Enterprise NFC Card Management
- Multi-User Administration
- Team & Department Management
- Corporate Digital Business Profiles
- Advanced Analytics
- CRM Integrations
- API Access (where available)
- SSO (Single Sign-On) Support (where available)
- Priority Customer Support
- Custom Branding
- Bulk Card Ordering
- Dedicated Account Management
- Enterprise Reporting
- Future Enterprise Features
Service availability depends on the selected Enterprise plan.
2. Enterprise Accounts
The Customer is responsible for:
- Managing authorized users
- Assigning administrator roles
- Maintaining accurate account information
- Ensuring employees comply with Cardintel policies
- Protecting account credentials
The Customer is responsible for activity conducted through its Enterprise account.
3. User Licenses
Enterprise subscriptions may include multiple licensed users.
User licenses:
- May not be shared simultaneously by multiple individuals.
- May be reassigned when employees leave the organization.
- Must be used in accordance with purchased license quantities.
4. Subscription Term
Enterprise subscriptions may be:
- Monthly
- Annual
- Multi-Year (where available)
Subscription terms begin on the activation date unless otherwise stated in the Enterprise Order Form.
5. Fees and Payment
Enterprise pricing is based on factors such as:
- Number of users
- Number of NFC cards
- Subscription tier
- Optional integrations
- Professional services
Invoices are payable according to the payment terms specified in the applicable Order Form.
Late payments may result in service suspension after reasonable notice.
6. Custom Projects
Cardintel may provide custom development, branding, integrations, or consulting services.
Project scope, pricing, deliverables, and timelines will be defined in a separate Statement of Work (SOW) or Order Form.
Requests outside the agreed scope may require additional fees.
7. Data Ownership
The Customer retains ownership of its business information and user-generated content.
Cardintel retains ownership of:
- Software
- Source code
- Platform technology
- Documentation
- Trademarks
- Proprietary systems
- Intellectual property
8. Security
Cardintel implements commercially reasonable administrative, technical, and organizational safeguards designed to help protect Enterprise account data.
The Customer is responsible for:
- Maintaining secure passwords
- Managing employee access
- Promptly removing access for former employees
- Reporting suspected security incidents
9. Service Availability
Cardintel works to provide reliable Services but does not guarantee uninterrupted or error-free availability.
Maintenance windows, upgrades, and unforeseen events may temporarily affect access.
10. Confidentiality
Each party agrees to protect confidential information received from the other party and to use such information only as necessary to perform obligations under this Agreement, except where disclosure is required by law.
11. Acceptable Use
Enterprise Customers must ensure all authorized users comply with:
- Cardintel Acceptable Use Policy
- Terms & Conditions
- Privacy Policy
- Applicable laws and regulations
Violations by authorized users may result in suspension or termination of Enterprise Services.
12. Limitation of Liability
To the fullest extent permitted by law, Cardintel shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, or loss of data arising from the use of Enterprise Services.
13. Termination
Either party may terminate this Agreement in accordance with the applicable Order Form or by mutual written agreement.
Cardintel may suspend or terminate Services if the Customer materially breaches this Agreement and fails to cure the breach within any applicable notice period.
Upon termination, access to Enterprise Services may end, subject to any data export options described in the Order Form or applicable policies.
14. Governing Law
This Agreement is governed by the laws of the State of Florida, without regard to its conflict of laws principles.
Any disputes shall be resolved in accordance with the dispute resolution provisions contained in the Cardintel Terms & Conditions unless otherwise agreed in writing.
